IMPORTANT NOTICE
PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE NOVA CRYPTO PROTOCOL. BY ACCESSING OR USING THE PROTOCOL, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PROTOCOL.
THE NOVA TOKEN IS A UTILITY TOKEN THAT PROVIDES ACCESS TO PRODUCTS AND SERVICES WITHIN THE NOVA ECOSYSTEM. IT IS NOT A SECURITY, INVESTMENT CONTRACT, OR FINANCIAL INSTRUMENT. THE PROTOCOL IS DECENTRALIZED AND OPERATES THROUGH SMART CONTRACTS ON THE SOLANA BLOCKCHAIN.
1. ACCEPTANCE OF TERMS
1.1 Agreement to Terms
These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you," "your," or "User") and the Nova Crypto Protocol ("Nova Crypto," "Nova," "Protocol," "we," "us," or "our"), governing your access to and use of:
a) The Nova Crypto website at https://novacrypto.com (the "Website");
b) The NOVA utility token ("NOVA Token" or "NOVA");
c) Nova Keys, which are NFT-based access tokens;
d) Smart contracts deployed on the Solana blockchain;
e) Any associated tools, applications, or services (collectively, the "Protocol Services").
1.2 Eligibility
By using the Protocol Services, you represent and warrant that:
You are at least eighteen (18) years of age;
You have the legal capacity to enter into binding agreements;
You are not a Restricted Person (as defined in Section 3.4);
Your use complies with all applicable laws and regulations;
You are not accessing the Protocol from a Restricted Territory.
1.3 Modification of Terms
We reserve the right to modify these Terms at any time. Modifications become effective upon posting. Your continued use of the Protocol Services constitutes acceptance of modified Terms.
2. PROTOCOL OVERVIEW
2.1 Nature of the Protocol
Nova Crypto is a decentralized protocol consisting of:
Open-source smart contracts on Solana;
A utility token (NOVA) with a fixed supply of 100,000,000 tokens;
Nova Keys that grant access to digital products and services;
Community governance mechanisms.
2.2 Decentralized Operation
The Protocol operates autonomously through smart contracts without central control. No single entity owns or controls the Protocol. Contributors include developers, validators, and community members.
2.3 Utility Token Characteristics
The NOVA Token:
Provides utility within the Nova ecosystem;
Enables purchase of Nova Keys;
Facilitates governance participation;
Is NOT a security, investment contract, or financial instrument;
Does NOT represent equity, ownership, profit-sharing, or voting rights in any entity;
Does NOT entitle holders to dividends, distributions, or returns.
3. USER REPRESENTATIONS AND WARRANTIES
3.1 Acknowledgment of Risks
You acknowledge and accept all risks associated with:
Cryptocurrency and blockchain technology;
Smart contract vulnerabilities;
Market volatility and token price fluctuations;
Regulatory uncertainty;
Technical failures;
Loss of private keys;
Irreversible transactions.
3.2 Investment Disclaimer
You acknowledge that:
The purchase of NOVA Tokens is NOT an investment;
You are NOT purchasing NOVA with an expectation of profit;
You are acquiring NOVA solely for utility purposes;
Past performance does not indicate future results;
You may lose the entire value of your tokens.
3.3 Technical Competence
You represent that you:
Understand blockchain technology;
Can securely manage private keys;
Understand the irreversible nature of blockchain transactions;
Have evaluated the smart contract code or relied on competent technical advice.
3.4 Compliance Representations
You represent and warrant that:
You are NOT a Restricted Person, including:
Persons on sanctions lists (OFAC, UN, EU, etc.);
Persons in embargoed countries;
Persons engaged in illegal activities;
You will comply with all applicable laws, including:
Securities laws;
Tax obligations;
Anti-money laundering (AML) regulations;
Know Your Customer (KYC) requirements.
4. NOVA KEYS
4.1 Nature of Nova Keys
Nova Keys are:
NFTs minted on the Solana blockchain;
Access tokens for specific products or services;
Transferable and tradeable;
Subject to expiration dates (if applicable);
Governed by smart contract logic.
4.2 Key Purchase and Use
Keys are purchased using NOVA Tokens;
Each Key specifies access rights and duration;
Keys activate automatically upon verification;
Access is controlled by smart contracts;
Lost Keys cannot be recovered.
4.3 No Refunds
All Nova Key purchases are final and non-refundable. Keys cannot be cancelled, reversed, or refunded once minted.
4.4 Third-Party Products
Products accessed through Nova Keys may be provided by third parties. We are not responsible for third-party products or services.
5. PROHIBITED ACTIVITIES
5.1 You SHALL NOT
a) Violate any applicable laws or regulations;
b) Engage in money laundering, terrorist financing, or other illegal activities;
c) Use the Protocol to facilitate illegal transactions;
d) Attempt to exploit or attack the Protocol or smart contracts;
e) Engage in market manipulation or wash trading;
f) Impersonate others or provide false information;
g) Interfere with other users' access to the Protocol;
h) Circumvent security features or access controls;
i) Use automated systems to abuse the Protocol;
j) Violate intellectual property rights;
k) Engage in activities that harm the Protocol's reputation;
l) Use the Protocol from Restricted Territories.
5.2 Monitoring and Enforcement
While the Protocol is decentralized, we reserve the right to:
Monitor for prohibited activities;
Report illegal activities to authorities;
Implement technical measures to prevent abuse;
Pursue legal remedies for violations.
6. FEES AND PAYMENTS
6.1 Network Fees
You are responsible for all blockchain network fees (gas fees) associated with transactions.
6.2 Protocol Fees
The Protocol may charge fees for certain operations as determined by smart contracts:
Nova Key minting fees;
Trading fees;
Other service fees.
6.3 Tax Obligations
You are solely responsible for determining and paying any taxes arising from your use of the Protocol, including but not limited to:
Income taxes;
Capital gains taxes;
Sales taxes;
Value-added taxes.
7. INTELLECTUAL PROPERTY
7.1 Protocol IP
The Protocol's intellectual property includes:
The Nova Crypto name and logo;
Website content and design;
Documentation and educational materials;
Software code (subject to open-source licenses).
7.2 License Grant
We grant you a limited, non-exclusive, non-transferable license to use the Protocol Services in accordance with these Terms.
7.3 User Content
By submitting content to the Protocol, you grant us a worldwide, royalty-free license to use such content for Protocol operations.
7.4 Open Source
Certain Protocol components are released under open-source licenses. Your use of open-source components is governed by applicable licenses.
8. THIRD-PARTY SERVICES
8.1 Integrations
The Protocol integrates with third-party services including:
Wallet providers (Phantom, Solflare, etc.);
Decentralized exchanges (Jupiter, Orca, Raydium);
Block explorers;
IPFS storage;
Analytics services.
8.2 Third-Party Terms
Your use of third-party services is governed by their respective terms. We are not responsible for third-party services.
8.3 No Endorsement
Reference to third-party services does not constitute endorsement or warranty.
9. PRIVACY AND DATA
9.1 Privacy Policy
Your use of the Protocol is subject to our Privacy Policy, which is incorporated by reference.
9.2 Blockchain Transparency
You acknowledge that blockchain transactions are public and permanent. Your wallet address and transaction history are visible to anyone.
9.3 KYC/AML
For certain services (e.g., fiat on-ramps exceeding $10,000), you may be required to complete KYC/AML verification through third-party providers.
10. DISCLAIMERS
10.1 "AS IS" BASIS
THE PROTOCOL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
MERCHANTABILITY;
FITNESS FOR A PARTICULAR PURPOSE;
NON-INFRINGEMENT;
TITLE;
ACCURACY;
RELIABILITY;
AVAILABILITY;
SECURITY.
10.2 NO GUARANTEE
WE DO NOT GUARANTEE:
Uninterrupted or error-free operation;
Security from hacks or exploits;
Accuracy of information;
Token value or liquidity;
Product availability;
Regulatory compliance in all jurisdictions.
10.3 SMART CONTRACT RISKS
Smart contracts may contain bugs, vulnerabilities, or unintended behavior. You use them at your own risk.
10.4 NO PROFESSIONAL ADVICE
Nothing in the Protocol constitutes financial, investment, legal, tax, or other professional advice. Consult appropriate professionals before making decisions.
11. LIMITATION OF LIABILITY
11.1 EXCLUSION OF DAMAGES
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE PROTOCOL, CONTRIBUTORS, OR SERVICE PROVIDERS BE LIABLE FOR:
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
LOST PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES;
LOSS OF DATA OR DIGITAL ASSETS;
COST OF SUBSTITUTE SERVICES;
DIMINUTION IN VALUE OF TOKENS;
THEFT OR HACKING OF WALLETS;
SMART CONTRACT FAILURES;
ANY DAMAGES EXCEEDING $100 USD.
11.2 ESSENTIAL PURPOSE
THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND REGARDLESS OF THE THEORY OF LIABILITY.
11.3 JURISDICTION SPECIFIC
Some jurisdictions do not allow limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
12. INDEMNIFICATION
12.1 Your Indemnification Obligation
You agree to indemnify, defend, and hold harmless the Protocol, its contributors, and service providers from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:
Your use of the Protocol Services;
Your violation of these Terms;
Your violation of any laws or regulations;
Your violation of third-party rights;
Your negligence or willful misconduct.
12.2 Defense and Settlement
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.
13. GOVERNANCE
13.1 Current Governance
The Protocol is currently maintained by contributors and developers. Major decisions may be made through informal community consensus.
13.2 Future DAO Governance
The Protocol may transition to decentralized autonomous organization (DAO) governance, where NOVA holders can participate in governance decisions.
13.3 No Guarantee of Governance Rights
Holding NOVA Tokens does not guarantee governance rights unless explicitly implemented through smart contracts.

The Protocol operates on the Solana blockchain. All transactions are subject to Solana's technical limitations and network conditions.

15. DISPUTE RESOLUTION
15.1 Informal Resolution
Before initiating formal proceedings, you agree to attempt informal resolution by contacting: legal@novacrypto.com
15.2 Binding Arbitration
Any disputes not resolved informally shall be resolved through binding arbitration under the rules of [ARBITRATION ORGANIZATION].
15.3 Class Action Waiver
YOU WAIVE ANY RIGHT TO BRING CLAIMS AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION.
15.4 Exceptions
The following disputes are not subject to arbitration:
Small claims court actions;
Injunctive relief for IP violations;
Disputes that cannot be arbitrated under applicable law.
16. GOVERNING LAW

Provisions that by their nature should survive termination shall survive.
17.7 Electronic Communications
You consent to receive electronic communications and agree that electronic signatures satisfy any legal requirements.
18. RESTRICTED TERRITORIES
18.1 Prohibited Jurisdictions
The Protocol Services are not available in:
United States (for certain services)
Countries subject to sanctions
Jurisdictions where cryptocurrency is prohibited
Any jurisdiction where use would violate local law
18.2 Compliance Responsibility
You are solely responsible for determining whether your use of the Protocol is lawful in your jurisdiction.
19. TERMINATION
19.1 User Termination
You may stop using the Protocol Services at any time.
19.2 Protocol Rights
We reserve the right to:
Modify or discontinue Protocol Services;
Update smart contracts (subject to technical limitations);
Restrict access from certain jurisdictions;
Implement technical measures against abuse.
19.3 Effect of Termination
Upon termination:
Your right to use Protocol Services ceases;
Blockchain transactions remain irreversible;
Certain provisions of these Terms survive.
20. RISK DISCLOSURES
20.1 Comprehensive Risk Warning
USE OF THE PROTOCOL INVOLVES SIGNIFICANT RISKS INCLUDING BUT NOT LIMITED TO:
a) Total Loss of Funds: You may lose all tokens and digital assets;
b) Smart Contract Risk: Code may contain bugs or vulnerabilities;
c) Regulatory Risk: Laws may change adversely;
d) Technical Risk: Systems may fail or be compromised;
e) Market Risk: Token values may fluctuate dramatically;
f) Liquidity Risk: You may be unable to sell tokens;
g) Operational Risk: The Protocol may cease operations;
h) Bridge Risk: Cross-chain operations may fail;
i) Wallet Risk: Lost keys mean permanent loss of assets;
j) Tax Risk: Tax obligations may exceed token value.
20.2 No Insurance
Digital assets are not insured by any government agency or insurance fund.
20.3 Your Responsibility
You are solely responsible for evaluating risks and making informed decisions.

22. DEFINITIONS
"DAO" means Decentralized Autonomous Organization
"DeFi" means Decentralized Finance
"KYC" means Know Your Customer
"AML" means Anti-Money Laundering
"NFT" means Non-Fungible Token
"Restricted Person" means persons on sanctions lists or engaged in illegal activities
"Restricted Territory" means jurisdictions where the Protocol is prohibited
"Smart Contract" means self-executing code on the blockchain
